IMDA Platinum Membership – Terms & Conditions
1. Introduction
These Terms & Conditions (“Terms”) govern participation in the IMDA Platinum Membership (“Membership”) provided by the Independent Motor Dealers Association (“The IMDA”, “we”, “us”, “our”).
By enrolling in the Membership, the approved member (“Member”, “you”, “your”) agrees to be bound by these Terms.
The Membership is an optional tier offering enhanced support, benefits, and services to The IMDA members.
2. Eligibility
Platinum Membership is available to independent motor dealers who meet The IMDA membership criteria and have upgraded from the standard membership tier.
Membership is intended for business use only and is not available to consumers acting outside their trade or profession.
Applicants must provide accurate, complete, and current business information at registration and throughout the Membership period.
The IMDA reserves the right to approve, decline, suspend, or revoke Membership at its discretion.
3. Membership Fees & Payment
Membership fees are payable annually unless otherwise stated.
All fees are non-refundable except where required by law.
The IMDA may revise Membership fees by providing at least 30 days’ notice before renewal.
Failure to pay Membership fees may result in suspension or termination of Membership and associated benefits.
Where automatic renewal applies, the Member authorises The IMDA to collect renewal fees using the payment method provided unless cancelled before renewal.
4. Membership Benefits
Platinum Members may receive enhanced benefits including:
- Exclusive access to The IMDA support and compliance guidance
- Exclusive Platinum Member partner discounts and offers (where applicable)
- Preferential a
- ccess to The IMDA events, training, and resources
- Additional Membership benefits as introduced from time to time
Certain benefits may be supplied by independent third-party providers. Where necessary, The IMDA may share relevant Member information solely for the purpose of administering those benefits.
The IMDA may modify, replace, suspend, or withdraw Membership benefits at its discretion. Where reasonably practicable, Members will be notified of material changes.
5. Member Obligations
Members agree to:
- uphold The IMDA Code of Conduct and industry best practices;
- maintain accurate and up-to-date business information;
- comply with all applicable laws, regulations, and trading standards;
- use The IMDA branding only in accordance with The IMDA guidelines; and
- cooperate with reasonable compliance or verification requests made by The IMDA.
Members must not misuse The IMDA branding or imply endorsement beyond the scope of Membership.
6. Branding & Intellectual Property
All The IMDA logos, branding, materials, website content, and Membership assets remain the intellectual property of The IMDA.
Members may use approved The IMDA branding solely in accordance with The IMDA brand guidelines and any instructions issued by The IMDA from time to time.
Branding must not be altered, distorted, misleadingly used, or used in any manner that may damage The IMDA’s reputation.
The IMDA may revoke branding permissions immediately where misuse is identified or suspected.
7. Compliance Reviews
The IMDA may conduct periodic reviews to ensure Members continue to meet Membership standards and eligibility requirements.
Failure to meet required standards may result in suspension or termination of Membership.
8. Suspension & Termination
The IMDA may suspend or terminate Membership where:
- Membership fees remain unpaid;
- the Member breaches these Terms;
- the Member provides false or misleading information; or
- the Member engages in conduct that may damage The IMDA’s reputation, integrity, or interests.
Termination or suspension does not entitle the Member to a refund of fees paid.
Upon termination, all rights to use The IMDA branding and Membership benefits cease immediately.
9. Renewal
Membership renews automatically on an annual basis unless cancelled before the renewal date.
By enrolling, the Member authorises The IMDA to collect the applicable renewal fee using the payment method provided unless cancelled prior to renewal.
Renewal reminders will be issued in advance.
Members may cancel automatic renewal at any time by notifying The IMDA in writing or through their Membership account, where available. Cancellation requests may also be submitted to hello@theimda.co.uk.
Continued Membership following renewal constitutes acceptance of these Terms, including any updates made in accordance with Section 15.
10. Communications
By becoming a Platinum Member, you agree to receive communications relating to:
- Membership benefits and updates;
- compliance and regulatory guidance;
- events, training, and The IMDA announcements;
- partner offers and opportunities; and
- services provided by third-party benefit providers.
We will only do this where we believe this will be of interest to you and to help you gain full benefit from your membership.
Members may opt out of marketing communications at any time; however, essential Membership and service communications will continue where necessary.
Membership benefits, offers, products, and services may change from time to time. The IMDA reserves the right to amend, replace, or withdraw benefits where necessary and will provide notice of material changes, where reasonably practicable.
11. Data Protection
The IMDA processes Member information in accordance with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.
Member data will be used solely for Membership administration, communications, compliance, and delivery of Membership benefits.
Where benefits are supplied by third-party providers, The IMDA may share necessary Member information solely for the purpose of administering those benefits.
Third-party providers operate under their own terms and privacy policies, and The IMDA is not responsible for their independent handling of Member data once lawfully transferred.
12. Third-Party Services
Certain Membership benefits, offers, products, and services are supplied directly by independent third-party providers.
The IMDA acts solely as an intermediary facilitating access to such services and accepts no responsibility for their availability, quality, performance, or suitability.
Any disputes relating to third-party products or services must be addressed directly with the relevant provider.
13. Limitation of Liability
To the fullest extent permitted by law, The IMDA shall not be liable for any indirect, incidental, consequential, or business losses arising from Membership participation, including loss of profit, opportunity, reputation, or data.
Membership benefits and services are provided on an “as available” basis, and The IMDA does not guarantee commercial outcomes, uninterrupted availability, or the performance of third-party providers.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
14. Force Majeure
The IMDA shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including supplier failures, cyber incidents, industrial disputes, natural events, or governmental restrictions.
15. Changes to Terms
The IMDA may update these Terms from time to time.
Members will be notified of material changes using the contact details held on file.
Continued use of the Membership following notification of updated Terms constitutes acceptance of those changes.
16. Governing Law & Acceptance
These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
By enrolling in the IMDA Platinum Membership, you confirm that you have read, understood, and agree to these Terms & Conditions.
